Harrasment!!!!

I Need help! I just received a letter from Wells Fargo Bank telling me that their collection efforts have failed and therefore I need to pay them by May 1st $38,000.00 and if I don't pay the bank will sue me and I will have to pay for their attorney fees. Well , "I never knew that this money was not paid", In fact, this money was a businessline awarded to a partnership that went sour on 1995...Lasted for 7 months and the expartner used all the businessline money in personal items, new truck, motorhome, vacations, etc,etc, I withdrew Jan ,1996 from the partnership as soon as I could...but I guess I was too late ...This man continued in business I believe until 2 months ago...Before we departed he promissed he would pay the creditline...but obviously he didn't.. I have 6 questions: 1-- Can I apply the Statute of limitations for a business line? 2-Can I not longer be obligated to pay since I withdrew from the partnership and I also send letters to the bank telling them that I was no responsible for the debt 3-The Bank refused my instructions to get checks with 2 signatures plus when I try to call them and close the account they wouldn't even want to talk to me...So how come now they are looking for me to pay? 4-My partnership agreement was only valid for 5 years...so I am still responsible for the debt? 5- Is it possible that if I don't pay that debt (I didn't use a penny )they will come and put a lien on my house? 6-Do anyone knows of a lawyer that could represent me in the Orange County area? I am so upset I can even believe this is happening to me..Please help!!! Glow
