Your question is silly, the purchase price that the CA paid to citibank has to do with the legality of a 1099 c.

The ca MUST do something with "leftovers" after a settlement, they can't issue a 1099 to wipe it out, they must sell it or transfer it out some way, and it is ILLEGAL to prevent someone from disposing of an asset, which is why telling them not to sell to the next scumbag ca can't work.
