California State Employer Tax Issue

I was the CEO of a corporation that went out of business in 12/2001. Unfortunately, it died owing the State of California $40,000 in payroll taxes. They are now saying that as CEO, I am TOTALLY RESPONSIBILE for this debt and have issued an assessement which is to be followed very soon by a State Tax Lien. Does ANYBODY know ANYTHING about this? A telephone consult with an attorney revealed no settling information. Thank you for any info you can pass-on. Julian
