Charge off question?

When a credit card co. charges off an account, what does this mean? They can either sell the acct to a collector, or assign it to an credit attorney. What good is the charge off? If acct. was never sufficently validated from original creditor past 90days, then the collector or credit attorney have no legal claim? Thanks Bill
