I would expect them not to sue. If they are making a low ball offer, that probably means that they don't have the documentation to take you to court. OR, maybe this account is passed the SOL. W&A usually pulls the arbitration thing. I would ignore them. If this thing is within the SOL, you are better of ignoring them. Just let the SOL run and hope for the best. If they actually DO sue you, then you answer the law suit immediately. Never ignore a law suit.
